Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and NOSIBLE Inc. (“Nosible”, “we”, “us”) governing your access to and use of NOSIBLE World and any related APIs, documentation, or services (collectively, the “Service”).
By creating an account, clicking “Accept”, or accessing the Service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. Material changes will be notified by email or in-app notice at least 14 days in advance.
2. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:
- Provide accurate and complete registration information and keep it up to date.
- Promptly notify us at legal@nosible.com if you suspect any unauthorised access to your account.
- Not share your API keys or session credentials with third parties without our express written consent.
- Ensure that anyone who uses the Service through your account complies with these Terms.
We reserve the right to terminate or suspend accounts where we reasonably suspect a security breach or misuse.
3. Acceptable Use
3.1 Permitted use
The Service is provided for lawful purposes including research, business intelligence, journalism, investment analysis, and internal business operations. You may query, display, and incorporate Service outputs into your own products and workflows within the limits of your subscription plan.
3.2 Prohibited use
You must not:
- Exceed the documented API rate limits for your subscription tier. Automated scraping, bulk downloading, or any technique designed to circumvent rate limiting is prohibited.
- Resell, sublicense, or redistribute raw event data or Nosible's proprietary classifications without a separate data redistribution licence from NOSIBLE Inc.
- Use the Service to train, fine-tune, or otherwise improve machine-learning models for commercial use without our prior written consent.
- Attempt to reverse-engineer, decompile, or extract the underlying algorithms, models, classification taxonomies, or scoring systems.
- Use the Service to facilitate any activity that is unlawful, harmful, threatening, defamatory, discriminatory, or that infringes any third-party rights.
- Introduce malware, conduct denial-of-service attacks, or attempt to gain unauthorised access to any part of Nosible's infrastructure.
Violation of these rules may result in immediate account suspension, termination, and legal action where warranted.
4. Service Availability
We aim to keep NOSIBLE World operational and reliable, but we do not guarantee uninterrupted, error-free access. The Service is provided on an “as-is” and “as-available” basis. Scheduled maintenance will be announced in advance where possible.
Free-tier users receive no uptime commitments. Paid-tier service level agreements (SLAs), if applicable, are set out in your subscription order form and take precedence over this section.
5. Intellectual Property Rights
5.1 Nosible's IP
NOSIBLE Inc. owns all intellectual property rights in the Service, including but not limited to: the NOSIBLE World platform, user interface, software code, APIs, documentation, and all proprietary classification taxonomies, scoring models, and enrichment algorithms (including IPTC, IAB, GICS, MITRE, and SportsML classifications generated by Nosible). Nothing in these Terms transfers any ownership of this IP to you.
5.2 Underlying news data
The event data surfaced by NOSIBLE World is sourced from publicly available news publications and wire services. Nosible processes and classifies this data but does not claim ownership of the underlying articles or source text. You are responsible for complying with the terms of the original publishers when using source-linked content.
5.3 Your content
Any feedback, bug reports, or suggestions you provide to Nosible may be used by us without compensation or attribution to improve the Service.
6. Limitation of Liability
To the maximum extent permitted by applicable law, NOSIBLE Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of profits, data, or business opportunity, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amounts you paid to Nosible in the 12 months preceding the claim, or (b) USD 100.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the minimum extent permitted by law.
7. Termination
Either party may terminate the relationship at any time. You may cancel your subscription and delete your account through account settings or by emailing legal@nosible.com. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial periods unless required by law.
We may suspend or terminate your access immediately if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to access the Service ceases immediately, and we may delete your data in accordance with our retention policy.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws principles. NOSIBLE INC is a Delaware corporation.
9. Dispute Resolution
Before initiating any formal legal proceedings, you agree to contact us at legal@nosible.com and allow 30 days for us to attempt to resolve the issue informally. This does not limit either party's right to seek injunctive or other equitable relief from a court.
If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of [arbitration body — to be confirmed], with proceedings conducted in [city] in the English language. Nothing in this clause prevents you from asserting consumer protection rights granted by the law of your country of residence.
